TERMS OF SERVICE

Welcome to THIRD Hub ("we," "our," or "us"). These Terms of Service ("Terms") form a binding agreement between you and THIRD Hub, governing your access to and use of our website, web and mobile applications, and associated services (the "Services"). By creating an account or using the Services, you agree to comply with and be bound by these Terms. If you do not agree, do not access or use the Services.

a. Eligibility. You must be at least 18 years old to use the Services. b. Accuracy of Information. You agree to provide accurate, complete, and current information when registering for an account and to update such information as needed. c. Security. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

a. Membership Tiers. We offer three recurring membership tiers, each with access to usage rights as detailed on Exhibit A (the "Membership Plans"). By selecting a membership plan, you agree that your membership will automatically renew on a monthly basis in accordance with the terms of the selected tier, and that the corresponding monthly fees will be charged to your authorized payment method under and until you cancel your membership with at least thirty (30) days' written notice. b. Team Policy. Members may add up to two team members to access THIRD Hub at no additional charge. Additional team member access may require the purchase of additional user access via written email at hello@teamthird.com.

a. You agree to conduct yourself professionally, respectfully, and lawfully while using the Services and participating in THIRD Hub activities. b. You agree not to: — Engage in disruptive, discriminatory, or harassing behaviors; — Use the Services for unlawful purposes or to promote illegal activities; — Interfere with or disrupt the integrity or performance of the Services or data contained therein; — Attempt to gain unauthorized access to any portion of the Services, systems, networks or portions of the property; — Introduce malicious software or code; — Violate the intellectual property or privacy rights of others; and — Disrupt the quiet enjoyment of the space for other users of the Services. c. We reserve the right to remove or ban any member who violates this Code of Conduct or engages in behavior that threatens the safety, comfort, or integrity of our community.

Your privacy is important to us. We do not sell, rent, or share your personal information with third parties for their marketing purposes. The data we collect through our web application, mobile application and website is used exclusively for (i) providing, maintaining, and improving the Services; (ii) processing payments and managing billing and collections; (iii) internal marketing, including notifications about events, promotions, and updates relevant to your membership; and ensuring security and preventing fraud. We retain your personal data only for as long as necessary to fulfill these purposes and to comply with legal obligations. You may request access to, correction of, or deletion of your personal information by contacting us at: hello@teamthird.com. By using the Services, you consent to our data practices as outlined in this section.

All content, trademarks, logos, designs, software, and other intellectual property appearing on or through the Services are the property of THIRD Hub or its licensors. You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any part of the Services without prior written permission.

a. Fee Adjustment. We reserve the right to increase membership fees, printing fees, and other services fees. Any such changes will be communicated to you at least sixty (60) days in advance. Unless you provide timely written notice of cancellation as described below, the updated fees will automatically take effect and be charged beginning with the next applicable billing cycle following the notice period. b. By providing a credit card or other payment method accepted by us, you represent and warrant that you are authorized to use the designated payment method and you authorize us (or our third-party payment processor) to charge your payment method for the total amount of your purchase (including any applicable taxes and other charges) on a recurring basis consistent with your membership plan. Printing Plans, Day Passes and Room Rentals will not automatically renew. c. Membership fees are billed in advance and will be automatically charged on the last calendar day of each month for access to the Services during the following month. All monthly membership fees are non-refundable. You agree to promptly notify us of any changes to your billing information, including payment method and billing address. d. Memberships must be cancelled with at least thirty (30) days' advance written notice to avoid charges for the next billing cycle. Notices of cancellation must be submitted by email to hello@teamthird.com. e. If the payment method cannot be verified, is invalid, or is otherwise not acceptable, your use of Services may be suspended or canceled. f. If you believe a charge was made in error, you must notify us in writing at hello@teamthird.com within thirty (30) days of the disputed charge. We will review the dispute in good faith and respond within a reasonable timeframe. You agree not to initiate a chargeback without first following this process.

You may terminate your account at any time through your account settings or by contacting support. Termination will be effective thirty (30) days after we receive your written notice of termination. We may suspend or terminate your account and access to the Services for violations of these Terms or for nonpayment. Upon termination, your access to the Services will end, and all unpaid obligations will remain due. Sections related to privacy, intellectual property, disclaimers, limitations of liability, and dispute resolution will survive termination.

The Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, express or implied. We do not guarantee uninterrupted access or the accuracy or reliability of any information provided. To the fullest extent permitted by law, THIRD Hub disclaims all warranties including fitness for a particular purpose, merchantability, and non-infringement. We do not guarantee that the Services will be available at all times or that access will be uninterrupted. Temporary interruptions may occur for maintenance, updates, or unforeseen technical issues.

To the maximum extent permitted by applicable law, THIRD Hub shall not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits or data, arising from or related to your use of the Services. Our total liability to you shall not exceed the total amount you have paid to us in the twelve (12) months preceding the event giving rise to the claim.

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law rules. Any dispute or claim arising out of or in connection with these Terms or the Services shall be resolved by final and binding arbitration under the rules of the American Arbitration Association, conducted in Atlanta, GA. You waive the right to participate in class actions or jury trials. For any matters not subject to arbitration, you agree to submit to the exclusive jurisdiction of the state and federal courts located in Fulton County, Georgia.

We may revise these Terms from time to time. Material changes will be communicated through email or app notification. Continued use of the Services after such changes constitutes your acceptance of the revised Terms. a. Electronic Communications. By using our Services, you consent to receive communications from us electronically, including emails, push notifications, and messages via the web or mobile app, and you agree that all agreements, notices, and disclosures satisfy any legal requirement that such communications be in writing. b. Force Majeure. We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, labor disputes, internet or power outages, equipment or software failures, acts of civil or military authorities, or governmental actions. c. Indemnification. You agree to indemnify, defend, and hold harmless THIRD Hub and its affiliates, officers, employees, and agents from and against any and all third-party claims, demands, actions, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to: your use or misuse of the Services; your breach or violation of these Terms; and your violation of any rights of another party, including any intellectual property or privacy rights. d. Modification or Suspension of Services. We reserve the right to modify, suspend, or discontinue any part of the Services, including access to facilities, amenities, or features, temporarily or permanently, with or without notice. THIRD Hub shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.
